NEXO provides coaching, mentoring, executive transformation, leadership development and business transformation services. These may include:

• Private sessions
• Follow-up sessions
• Business diagnostic sessions
• Organizational or leadership engagements
• Group programs
• Intensives
• Educational or transformation programs

NEXO services are intended for accompaniment, reflection, personal development, leadership and business transformation. They do not replace medical, psychological, psychiatric, legal, tax, accounting or financial services provided by licensed professionals.

Where a matter requires specialised expertise, the client should seek independent professional advice.

The client remains solely responsible for:

• Business decisions
• Employment and personnel decisions
• Financial decisions
• Personal decisions
• Actions taken following a session
• Implementation of any suggestion discussed
• The consequences of those decisions

The client acknowledges that decisions taken as a result of a session are their exclusive responsibility. NEXO facilitates processes of analysis, reflection and transformation, but does not make decisions on the client's behalf.

NEXO does not guarantee specific results, revenue increases, business growth, financial improvements or particular personal outcomes.

Results may vary according to each client's circumstances, decisions, actions and level of implementation, as well as factors outside NEXO's control.

A booking is confirmed only once the required information has been submitted, payment has been successfully processed where payment is required, and the client has received the booking confirmation.

A booking is not considered confirmed until the corresponding payment has been successfully processed and the client has received confirmation of the session.

For formats that do not require payment, confirmation occurs once the booking confirmation has been issued. NEXO may decline a booking request, where appropriate, before it is confirmed.

• Prices are displayed before purchase, with the applicable currency clearly identified.
• Sessions may currently be priced in Mexican pesos (MXN).
• Full payment is required before a paid session is confirmed.
• Payments may be processed by third-party providers such as Cal Payments and their payment infrastructure.
• Use of those providers may also be subject to their own terms and privacy policies.

The applicable price shall be the one shown to the client before confirming the booking.

General principle

Payments made for NEXO sessions are, in principle, non-refundable, except where NEXO cancels the service or where applicable law provides otherwise.

Rescheduling

The client may reschedule a session once, at no additional cost, provided the request is made at least 48 hours before the originally booked time.

Once the permitted reschedule has been used, any additional request may be declined and the amount paid may be treated as definitively applied to the original or rescheduled booking, subject to applicable law.

Less than 48 hours

Cancellations or change requests made less than 48 hours before the session are, in principle, not eligible for rescheduling or refund. The amount paid will be treated as applied to the booked session, except where applicable law provides otherwise or NEXO grants an exceptional authorisation.

No-show

If the client does not attend (“no-show”), the amount paid is forfeited and the session is considered used. There is no refund and no automatic rescheduling.

Late arrival

If the client joins the session late, the session will still end at the originally scheduled time. Time lost due to the client's delay is not recoverable, does not extend the session and does not give rise to a partial refund.

Exceptional circumstances

NEXO may assess exceptional or force majeure circumstances on a case-by-case basis. Any exception granted is discretionary and does not create an obligation or a precedent for future bookings. This does not limit statutory consumer rights.

Cancellation or rescheduling by NEXO

If NEXO cancels a session and cannot provide the contracted service, the client may choose between rescheduling the session at no additional cost or requesting a full refund of the amount corresponding to that session.

Sessions may take place online, in person, or at another location agreed by the parties.

For online sessions, the client is responsible for:

• A stable internet connection
• An appropriate device
• A suitable, private environment
• Joining at the scheduled time

If a technical failure attributable to NEXO prevents the session from taking place, NEXO will reschedule the session or provide another appropriate remedy.

Information shared during sessions will normally be treated as confidential. Reasonable exceptions apply where:

• The client has given consent
• Disclosure is required by applicable law
• There is an order from a court or competent authority
• Disclosure is necessary to protect against a serious legal risk, where applicable

NEXO cannot promise absolute confidentiality in circumstances where disclosure may be legally required.

Sessions may not be recorded by either party without the prior consent of the other party.

If recordings are offered as part of specific programs in the future, separate consent will be obtained.

The NEXO name, the NEXO Method, the NEXO Lens, graphics, frameworks, training materials, exercises, documents, videos, written content and course content are owned by NEXO or used under authorisation, as applicable, and may be protected intellectual property.

Unless otherwise agreed in writing, the client receives a personal, non-transferable right of use only. The following are prohibited without prior written authorisation:

• Resale
• Publication
• Commercial reproduction
• Copying of course or program content
• Distribution to third parties

Client material

Confidential business information provided by the client remains the client's property. NEXO does not acquire ownership of it merely because it was shared during a session or engagement.

This website and the service delivery may rely on third-party platforms, including:

• Cal.com (scheduling)
• Cal Payments and the relevant payment providers
• Video conferencing providers
• Email providers

Use of these services may also be governed by their own terms and privacy policies. NEXO's liability for third-party interruptions is limited to what applicable law requires.

The following are prohibited:

• Unlawful use of the website
• Attempts to compromise its security
• Unauthorised copying of content
• Automated abuse or scraping
• Impersonation of another person or entity
• Interference with the operation of the website

The processing of personal data is governed by our separate Privacy Policy: Privacy Policy.

NEXO may update non-essential aspects of its services, scheduling methods or platform providers.

For material changes affecting a service already confirmed and paid for, the client's rights remain protected: the client may accept the change, request rescheduling, or, where applicable, request a refund of the affected session.

Neither party shall be liable for a failure to perform caused by events outside their reasonable control, such as:

• Serious illness
• Natural disasters
• Major telecommunications failures
• Government restrictions
• Other events that objectively prevent performance

Where performance becomes impossible, NEXO will seek a reasonable rescheduling or another lawful remedy.

To the extent permitted by applicable law, NEXO shall not be liable for indirect losses or for outcomes arising from business or personal decisions adopted exclusively by the client.

Nothing in these terms limits rights or liabilities that cannot legally be excluded.

Nothing in these Terms & Conditions is intended to limit the non-waivable rights afforded to the consumer under applicable Mexican law.

These Terms shall be interpreted in accordance with the law applicable in the United Mexican States, without prejudice to the rights available to the consumer before the competent authorities.
